Federal Legislation aimed at improving governance practices does not distinguish between different types of public firms. Arguably, optimal governance structures can vary by firm size, industry and other factors. Moreover, many governance practices can be viewed as substitutes for each other. Does One Size Fit All? Are there really alternate means for achieving the same result? What are the benefits and costs of Federal mandates? Are there different implications for Mid-Cap, Large-Cap and Small-Cap firms?
